Setting up a roofing company in North Carolina

How do you set up a roofing company in North Carolina from scratch?

  1. Decide whether the company will stay a sole proprietorship or become an LLC
  2. Price your first jobs against the $40,000 licensing line
  3. File Articles of Organization with the Secretary of State
  4. Name a North Carolina registered agent and office
  5. Apply for the Specialty Roofing license if bids will pass the line
  6. Buy workers' compensation before the third regular employee
  7. Set up sales tax handling as a real property contractor
  8. Calendar the April 15 annual report

Choose the structure before the first big bid

Decide first whether the company stays a sole proprietorship or becomes an LLC. That choice sets whose name goes on contracts, insurance and the license.

A license is held by a person or a firm, and a firm applies through a qualifier. If you plan to bid work over $40,000, the entity should exist first.

A roofing company faces falls, hail claims and unpaid-supplier disputes. That is the reason many owners want a wall between the business and the house. The license guide shows when the license comes into play.

Filing the Articles of Organization

File Articles of Organization, Form L-01, with the Secretary of State. The fee is $125. Amending them later costs $50.

The form asks for the LLC's name with a required ending, who signs, a registered agent, a registered office and whether there is a principal office. The Secretary of State also offers a free email notification to help prevent business identity theft.

If you would rather hand the paperwork to someone, a formation service can prepare the filing. The state fee is the same, and the comparison page sets out what each service publishes about its own prices.

Who can serve as the registered agent

The registered agent must be a North Carolina resident, or a company whose business office is the registered office. You can name yourself if you live in the state.

The registered office must be a real street address in North Carolina, where papers can be served. Changing the agent or office later costs $5.

A roofer on job sites all day needs someone at that address during business hours. If that is not you, a paid agent is the usual answer.

Sales tax and the yearly report

A real property contractor is the consumer of the materials used in a contract. You pay sales and use tax on shingles, underlayment and flashing when you buy them.

Each LLC also files an annual report with a $200 fee. The Secretary of State says it is due on April 15 of each year after the year of creation.

Put both in the calendar at setup. The crew coverage page covers the insurance side of running the company.

Questions

Must a roofing LLC have its own license?

Only if it bids or builds work at the $40,000 line or above. Then the company applies for a license through a qualifier who passes the exam for the firm.

What happens if the annual report is missed?

The Secretary of State can send a notice of grounds for administrative dissolution to companies that miss the report. This site did not confirm the cure period, so check the Secretary of State.

Can an LLC sign roofing contracts without a license under the line?

Below $40,000 the state contractor license does not apply. Permit, insurance, tax and workers' compensation rules still do.
